These Terms of Use (the "Agreement") are a legal agreement between Pailon ("Pailon," "we," "us," or "our") and the individual or entity ("you," "your") that creates an account or otherwise accesses or uses the Pailon Services.
By accessing or using the Pailon Services, you agree to be bound by this Agreement, including the dispute resolution and arbitration provisions in Section 12, unless you opt out as permitted.
If you believe your account credentials have been compromised or your account accessed without authorization, contact us immediately.
Pailon is a programmable control plane for regulated actions. It evaluates authorization requests against policy, risk, jurisdictional rules, and delegated authority, and produces verifiable, auditable evidence of decisions and outcomes.

All regulated actions are executed by you or third-party systems. Pailon governs and records decisions; it does not perform the action.
You may use Pailon in connection with third-party services, including banks, payment processors, blockchains, wallets, compliance vendors, agent frameworks, or case-management systems ("Third-Party Services").
You must create a Pailon account ("Pailon Account") to access certain services. You agree to provide accurate, current information and to keep it updated.
A third-party platform may provision your Pailon Account to support its services ("Platform Account"). Your relationship with that platform is governed by its terms. Pailon is not responsible for platform actions or omissions.
You may create an account directly with Pailon ("Direct Account") to use dashboards, APIs, or integrations.
Platform Accounts and Direct Accounts are both "Pailon Accounts" under this Agreement.
You must be at least 13 years old to use the Pailon Services.
If you use Pailon on behalf of an organization, you represent that you have authority to bind that organization to this Agreement.
We may require identity, authorization, or compliance information before enabling certain features. Failure to provide accurate information may result in restricted access, suspension, or termination.
You may authorize users, agents, or systems to act under your account. You are responsible for all activity conducted under your account, whether authorized or not.
You must protect credentials, including:

You may use the Pailon Services only for lawful purposes and in compliance with all applicable laws, including financial, data protection, sanctions, and regulatory requirements.

If we believe your use presents legal, compliance, security, or operational risk, we may limit functionality, suspend access, terminate accounts, or take other lawful actions.
Fees for paid services are described in applicable pricing pages, order forms, or agreements. You are responsible for applicable taxes, excluding taxes on Pailon's income.
Our collection and use of Personal Data is governed by the Privacy Policy, which is incorporated into this Agreement by reference.
Pailon processes data to provide governance, evidence, and reporting services and does not use Personal Data for advertising or resale.
This Agreement remains in effect while you use the Pailon Services.
We may suspend or terminate access if:

We may modify the Services or this Agreement at any time. Continued use after changes take effect constitutes acceptance.
We grant you a limited, non-exclusive, non-transferable license to use the Pailon Services for permitted purposes.
You may not share, sell, or sublicense API credentials except to service providers acting on your behalf under confidentiality obligations.
Pailon retains all rights to its services, software, documentation, and trademarks.
Feedback you provide may be used by Pailon without restriction.
You must protect Pailon's confidential information and use it only as permitted.
THE PAILON SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PAILON DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
PAILON DOES NOT GUARANTEE EXTERNAL EXECUTION, SETTLEMENT, OR THIRD-PARTY OUTCOMES.
PAILON'S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF:
PAILON IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
You agree to indemnify and hold Pailon harmless from claims arising from your use of the Services or violation of this Agreement.
PLEASE READ CAREFULLY.
Disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA), on an individual basis only.
You may opt out within 30 days of first accepting this Agreement by written notice.
This section survives termination.
This Agreement is governed by the laws of the State of Nevada, excluding conflict-of-law principles. The Federal Arbitration Act governs arbitration provisions.
Notices may be delivered via email, dashboard notification, or other reasonable means.
Service-related communications may be sent via email or messaging channels. Calls may be recorded where permitted by law.
We are not responsible for delays or failures caused by events beyond our reasonable control.
If any provision is unenforceable, the remainder remains effective. This Agreement constitutes the entire agreement unless superseded by a written addendum.
